Position:

Director, Global Compensation

Reporting to the Senior Vice President of Human Resources, this hands-on position is
responsible for driving the design and execution of National Semiconductorís global
compensation strategies.

Essential Skills:

The Director of Global Compensation, is responsible for overseeing the design and
implementation of National Semiconductorís compensation programs, including: Executive Pay,
Equity Programs, Variable Incentive Programs, and Base Pay. This position requires outstanding
relationship management skills. The ideal candidate is able to interact successfully with the
Board of Directors, senior management and all levels of employees across multiple
geographies.

A foundation of excellent compensation and analytical skills, strategic planning and visioning
capability is required. Must have the ability to lead and effectively participate on
cross-functional and cross-geographic teams. A solid understanding of organization change
principles, communication strategy and employee engagement methods is highly beneficial.
Strong project management skills are necessary.

The successful candidate will demonstrate an ability to build a business case for change,
articulate and defend a point of view, lead a diverse group to consensus, and evangelize at
all levels of the organization. This position requires breadth of knowledge concerning equity
expensing, deferred compensation, and corporate governance issues. Rewards management systems
knowledge is critical. Previous international experience is an advantage.

This is business driven Compensation group! This position requires the ability to apply sound
judgment to solve problems, make defensible recommendations, influence decisions, and execute
to an implementation plan.

Most of the current team members have come from Finance, HR Business Partner or Systems

Minimum Requirements:

15 years of total experience in Human Resources, Finance, Compensation or related fields.

Breadth of experience in the following areas is highly desirable: Financial or compensation
market analysis, Executive compensation program design and management, Stock administration,
HR generalist and/or Employee communications, SAP 4.7 compensation management and business
warehouse

Master Degree with a concentration in Finance or Human Resources
